These Terms of Service ("Terms") apply to your use of the Portium website, waitlist, mobile applications, and related services, features, and community spaces we make available (collectively, the "Service"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
These Terms are written in English. If we provide a translation, the English version prevails to the extent permitted by law.
1. Who we are and how to contact us
Portium operates the Service under the Portium brand. You can contact us at [email protected] or through our support page.
We use these channels for support requests, legal notices, consumer complaints, copyright complaints, and questions about these Terms.
2. Eligibility and accounts
You may use the Service only if you are legally allowed to enter into a binding agreement, or if you have the permission of a parent, guardian, school, or other authorized adult where applicable. You must provide accurate information when you register and keep your account details up to date.
You are responsible for maintaining the confidentiality of your login credentials and for activities that take place through your account. Please contact us promptly if you believe your account has been accessed without authorization.
3. What the Service is for
Portium is a collaborative learning and accountability platform. Depending on the feature, users may create profiles, join spaces, track progress, upload content, communicate with other users, or join a waitlist for future access.
We may add, remove, or change features over time to improve the Service, comply with law, address security issues, or reflect product changes. If a change materially and negatively affects a paid digital service, we will provide any notice required by applicable law.
4. Acceptable use
You must use the Service lawfully and responsibly. In particular, you must not:
- upload, share, or promote illegal content or content that infringes the rights of others;
- harass, threaten, exploit, or endanger other people;
- impersonate another person or misrepresent your affiliation with a person or organization;
- interfere with the security, integrity, or normal operation of the Service;
- scrape, reverse engineer, or access the Service through unauthorized means except where the law allows it;
- use the Service to distribute spam, malware, or deceptive content;
- post or share content that is hateful or discriminatory, sexually explicit, or that threatens, promotes, or glorifies violence, or that bullies, degrades, or intimidates others;
- share content that sexually exploits or endangers children, or that encourages suicide or self-harm;
- share another person's private information without their permission;
- target, stalk, or repeatedly contact someone, or add them to spaces, after they have made clear they do not want contact.
Zero tolerance. Portium has zero tolerance for objectionable content and abusive users. Objectionable content means content that breaks this section. If you post objectionable content or abuse other users, we may remove the content and suspend or permanently close your account. Where the breach is serious or we need to act immediately to protect others, we may do this without prior notice (see sections 6 and 15).
You remain responsible for your conduct and for content you submit through the Service.
5. User content
You retain ownership of content you create or upload, but you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, adapt, publish, and display that content only to the extent necessary to operate, secure, improve, and promote the Service.
This license ends when your content is deleted from our active systems, except to the extent we need to keep limited copies for backup, security, legal, or compliance reasons.
You confirm that you have the rights needed to upload the content and to grant the license described above.
6. Moderation, restrictions, and complaints
We may review content and behavior to enforce these Terms, protect users, comply with legal obligations, and maintain the security of the Service. This may include automated checks for spam, abuse, fraud, or security issues and, where appropriate, human review.
We may remove content, limit visibility, suspend features, or suspend or close an account if we reasonably believe there has been a breach of these Terms, misuse of the Service, unlawful activity, or a risk to users, our systems, or third parties.
You can report content or users that break these Terms by using Report in the app, by contacting us at [email protected], or through our support page. For illegal content, see section 7. We aim to review reports within 24 hours. Where a report is justified, we act on it, which can include removing the content and removing the user who posted it from the Service. If someone is in immediate danger, contact your local emergency services first.
Where legally required or reasonably possible, we will explain significant restrictions or account actions and tell you how to challenge the decision. You can contest a moderation or account decision by contacting us at [email protected] or through our support page.
7. Illegal content and intellectual property complaints
If you believe content on the Service is illegal or infringes your intellectual property or other rights, contact us with enough detail for us to review the notice, including your contact details, the location of the content, a description of the issue, and why you believe the content is unlawful or infringing.
We will review notices in good faith and take action when appropriate under applicable law and these Terms.
8. Service availability, maintenance, and updates
We aim to keep the Service available and secure, but we do not promise uninterrupted or error-free availability. We may suspend or limit access temporarily for maintenance, upgrades, security work, or reasons beyond our reasonable control.
If you receive a digital service from us as a consumer, we may provide updates, bug fixes, and security patches that are reasonably necessary to keep the Service in conformity, maintain security, or improve functionality.
9. Paid features, subscriptions, and consumer withdrawal rights
Unless we clearly state otherwise before checkout, the Service or relevant feature is free of charge. If we introduce paid features, subscriptions, or in-app purchases, we will show the main characteristics, total price, billing cycle, renewal terms, and cancellation steps before you place an order.
If you are an EU consumer, you may have a 14-day withdrawal right for distance contracts. For digital content or digital services supplied immediately, we may ask for your express consent to start performance before the withdrawal period ends and, where the law allows, for your acknowledgment that this can reduce or end the withdrawal right.
Cancellation, renewal, refunds, and any service-specific billing rules will be explained at checkout or in the relevant product flow. App store purchases may also be subject to the terms and refund rules of the relevant app store.
10. Consumer rights you keep
Nothing in these Terms excludes or limits rights you have under mandatory consumer protection law. If you are a consumer in the European Union, this includes rights relating to unfair contract terms, conformity of digital content or digital services, remedies where the service is not as agreed, and other mandatory local protections.
11. Our intellectual property
The Service, including our branding, software, design, text, graphics, and other materials that we provide, is owned by us or our licensors and protected by intellectual property laws. Except as allowed by law or expressly permitted by us, you may not copy, modify, distribute, sell, or create derivative works from those materials.
12. Privacy and personal data
Our use of personal data is described in our Privacy Policy. If there is a conflict between these Terms and the Privacy Policy on data protection matters, the Privacy Policy controls for those matters.
13. Third-party services and app stores
The Service may link to or depend on third-party services, websites, identity providers, hosting providers, analytics services, payment processors, or app stores. We are not responsible for third-party services we do not control, though their own terms and privacy notices may apply to your use of them.
14. Liability
We are responsible for losses we cause to you only to the extent those losses are a reasonably foreseeable result of our breach of these Terms or our failure to use reasonable care and skill. We are not responsible for losses that were not foreseeable, were not caused by our breach, or could have been avoided by taking reasonable steps.
We do not exclude or limit liability where the law does not allow us to do so, including for fraud, fraudulent misrepresentation, willful misconduct, gross negligence where non-excludable, or death or personal injury caused by negligence.
If you use the Service for business purposes, we are not liable for loss of profit, loss of revenue, loss of business opportunity, loss of goodwill, or indirect or consequential loss, except where the law does not allow such a limitation.
15. Ending your use of the Service
You may stop using the Service at any time. You may also request deletion of your account subject to any retention obligations described in our Privacy Policy or required by law.
We may suspend or end your access for the reasons described in these Terms. Where reasonably possible, we will give advance notice before closing an account, unless immediate action is needed for security, safety, legal, or abuse-prevention reasons.
16. Changes to these Terms
We may update these Terms from time to time to reflect changes to the Service, legal requirements, or our business operations. If a change is material, we will provide notice by appropriate means before the updated Terms take effect, unless an immediate change is needed for legal or security reasons.
The updated Terms will appear on this page with a new "Last updated" date. If you continue using the Service after the updated Terms take effect, you agree to the revised Terms. If you do not agree, you must stop using the Service.
17. Governing law and disputes
Nothing in these Terms removes any mandatory rights or remedies you have under the consumer laws that apply where you live. If you are an EU consumer and have a complaint, please contact us first so we can try to resolve it directly.
If a dispute cannot be resolved directly, you may also contact any consumer authority, regulator, or alternative dispute resolution body that is available to you under applicable law.
18. Severability
If any part of these Terms is found invalid or unenforceable, the remaining parts will stay in effect to the fullest extent permitted by law.
19. Contact
